1. Acceptance of Terms

By accessing or using SignMyGST ("the Service"), operated by Indgns Ecommerce Private Limited ("Company", "we", "us"), registered at Bhopal, Madhya Pradesh, India (CIN: U72900MP2022PTC062191, GSTIN: 23AAHCI7770D1ZM), you agree to these Terms. If you do not agree, do not use the Service.

2. Description of Service

SignMyGST is a software tool that automates GST invoice generation for Mutual Fund Distributors (MFDs). Users upload CAMS or KFintech commission statements; the Service parses invoice data, generates GST compliant invoices in PDF format, and produces upload ready files including CAMS Bulk Upload Excel and KFintech template files.

3. Eligibility

You must be a GST registered entity or individual in India to use the Service. You represent that the GSTIN, PAN, and entity details you provide are accurate and belong to you or your authorized organization.

4. Account and Authentication

Accounts are created using email and OTP verification. You are responsible for maintaining the security of your email account. One account per GSTIN. You must not share account access with unauthorized individuals.

5. Credits and Payments

  • The Service operates on a credit based model. 1 credit = 1 AMC invoice processed.
  • Credit packs (Starter, Standard) do not expire.
  • Pro Annual plan provides unlimited credits for 12 months from purchase date.
  • All prices are exclusive of GST (18%). GST is charged additionally.
  • Payment processing is handled by Cashfree Payments. We do not store your payment card details.
  • Payment processing charges are absorbed by us.
  • Credits are consumed only upon successful invoice generation.

6. Free Tier

New users receive 5 free invoice credits. No payment information is required to use the free tier. Free credits do not expire.

7. Invoice Generation and Accuracy

  • The Service generates invoices based on data extracted from RTA provided commission statements.
  • You are solely responsible for verifying the accuracy of generated invoices before uploading them to CAMS or KFintech portals.
  • The Company does not guarantee that generated invoices will be accepted by RTAs, as acceptance depends on RTA portal requirements which may change.
  • Invoice numbering sequences are managed per user, per financial year, per RTA. You are responsible for ensuring your invoice numbering does not conflict with invoices generated outside this Service.

8. Data Handling

  • Uploaded RTA files (PDFs, ZIPs) are processed in memory and are not stored beyond the processing session.
  • Generated output files (invoice PDFs, Excel files, ZIP packages) are available for download for 24 hours, after which they are permanently deleted.
  • Users may opt in to extended 1 year retention in their account settings.
  • Signature and seal images are stored securely in private, user scoped storage buckets and are retained until the user deletes them or deletes their account.
  • We do not share, sell, or provide your data to any third party except as required for service operation (hosting, payment processing, email delivery).

9. Intellectual Property

The Service, including its design, code, and branding, is owned by Indgns Ecommerce Private Limited. Generated invoices are your property. You grant us a limited license to process your uploaded files solely for the purpose of invoice generation.

10. Prohibited Use

You may not: use the Service to generate fraudulent or misleading invoices; reverse engineer or attempt to extract source code; resell or redistribute the Service; upload malicious files; or use automated tools to access the Service without authorization.

11. Service Availability

We aim for high availability but do not guarantee uninterrupted service. Scheduled maintenance will be communicated via email where possible. We are not liable for losses arising from temporary service unavailability.

12. Limitation of Liability

The Service is provided "as is" without warranties of any kind. Indgns Ecommerce Private Limited shall not be liable for: errors in generated invoices resulting from incorrect data in uploaded statements; rejection of invoices by RTA portals; any tax penalties arising from incorrect invoice submission; indirect, incidental, or consequential damages; or losses exceeding the amount paid by you in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify Indgns Ecommerce Private Limited against claims arising from your use of the Service, including but not limited to claims related to incorrect tax invoices, GST non compliance, or misrepresentation of entity details.

14. Modifications

We may update these Terms at any time. Material changes will be communicated via email to your registered address. Continued use after changes constitutes acceptance.

15. Termination

We may suspend or terminate your account for violation of these Terms. You may delete your account at any time through account settings. Upon termination, your data will be deleted as per our data handling policy.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Bhopal, Madhya Pradesh.
